1. Agreement and scope
CleanedWeb is a product of Vaso Ventures LLC, a Delaware limited liability company. In these Terms, “CleanedWeb,” “we,” “us” and “our” refer to Vaso Ventures LLC and the CleanedWeb service.
By accessing or using the website, requesting access, creating an account, using an API key, receiving CleanedWeb data or otherwise using the service, you agree to these Terms. If you use the service for an organization, you represent that you have authority to bind that organization.
An order form, enterprise agreement, data processing addendum or other written agreement signed by both parties may contain additional terms. If a signed agreement conflicts with these Terms, the signed agreement controls for that conflict.
2. The service
CleanedWeb acquires property listing information from supported sources and can normalize, deduplicate, merge, filter and deliver source-aware records. Available sources, fields, markets, delivery methods and service levels depend on the applicable plan or written agreement.
CleanedWeb data represents information observed from sources at particular times. It is not a complete registry of property, title, ownership, transactions or market activity.
3. Eligibility and accounts
- You must be legally capable of entering into a binding agreement.
- You must provide accurate account and business information.
- You are responsible for activity under your account and for safeguarding credentials and API keys.
- You must promptly notify us if credentials are lost, compromised or used without authorization.
- You may not share credentials outside the users or systems permitted by your plan or written agreement.
4. Limited right to use the service
Subject to these Terms, payment of applicable fees and the scope of your plan or written agreement, we grant you a limited, non-exclusive, non-transferable and revocable right to access and use the service for your authorized business purposes.
Rights to use delivered data are further governed by the Data Usage Agreement. No ownership in CleanedWeb technology, source content or third-party intellectual property transfers to you.
5. Acceptable use
You may not use the service to:
- Violate applicable law, regulation, contract or third-party rights.
- Circumvent rate limits, quotas, access controls, source restrictions or technical safeguards.
- Probe, scan, attack or attempt unauthorized access to any system, network, account or credential.
- Interfere with the availability, integrity or operation of the service.
- Use the service to distribute malware, facilitate fraud, harass people or conduct unlawful surveillance.
- Submit content or data you do not have the right to process.
- Reverse engineer, decompile or attempt to derive non-public source code, models or acquisition methods, except where that restriction is prohibited by law.
- Use professional contact information for spam, indiscriminate solicitation or communications prohibited by applicable marketing laws.
6. Customer inputs
You retain your rights in queries, files, feeds, configuration and other materials you provide to the service. You grant us the rights necessary to process those materials to provide, secure and support the service.
You are responsible for the legality, accuracy and required permissions for customer inputs, including any personal information or private feeds supplied by you.
7. Source content and third-party rights
Property records can contain source-derived text, media, professional contact information, identifiers and factual assertions. Rights in that underlying material may belong to portals, brokers, developers, photographers, licensors or other third parties.
Technical delivery does not by itself grant publication, syndication, marketing or media rights. You must ensure that your intended use is permitted by your agreement with CleanedWeb, applicable source terms and applicable law.
8. Fees, Units and taxes
- Pricing, included usage, CleanedWeb Units, overages and billing periods are stated on the pricing page or in your order form.
- You authorize applicable charges using the payment method associated with your account when billing is enabled.
- Fees exclude taxes unless stated otherwise. You are responsible for applicable taxes other than taxes on our net income.
- Payments are non-refundable except where required by law or expressly stated in a signed agreement.
- We may change public pricing prospectively. Existing committed terms remain governed by the applicable order form or billing period.
9. Availability and service changes
Sources can change, restrict access, remove records, alter fields or become unavailable. We may update acquisition methods, schemas, source coverage and features to maintain or improve the service.
Unless a signed agreement includes a service level, the service is provided without a guaranteed uptime, response time, source continuity or recovery period.
10. Verification and professional judgment
CleanedWeb results are operational data signals, not legal, financial, immigration, tax, valuation, title, engineering or investment advice.
You are responsible for independently verifying information before making a transaction, regulated decision, recommendation or other decision with material consequences.
11. Confidential information
Non-public technical, commercial, security and business information disclosed by one party to the other and reasonably understood to be confidential must be protected using reasonable care and used only for the relationship.
Confidential information does not include information that is public without breach, already lawfully known, independently developed or rightfully received without confidentiality restrictions.
12. Suspension and termination
We may suspend or terminate access for material breach, abuse, security risk, non-payment, legal requirement or conduct that threatens the service or third-party rights. Where practical, we will provide notice and an opportunity to cure.
You may stop using the service at any time. On termination, access rights end and you must handle retained data as required by the Data Usage Agreement and any signed agreement.
13. CleanedWeb intellectual property
The service, software, schemas, documentation, interfaces, designs, trademarks and other CleanedWeb materials are owned by Vaso Ventures LLC or its licensors and are protected by applicable intellectual property laws.
If you provide feedback, you grant us a worldwide, perpetual and irrevocable right to use it without restriction or compensation, provided we do not identify you publicly without permission.
14. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE AND DATA ARE PROVIDED “AS IS” AND “AS AVAILABLE.” WE DISCLAIM IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS AND QUIET ENJOYMENT.
We do not warrant that every source, market, listing, field or status will be available, current, unique or error-free, or that use of the service will satisfy your legal or contractual obligations.
15. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, GOODWILL, BUSINESS OPPORTUNITY OR DATA, EVEN IF ADVISED OF THE POSSIBILITY.
OUR TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF USD 100 OR THE AMOUNTS YOU PAID TO CLEANEDWEB DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
These limitations do not apply where liability cannot lawfully be limited. A signed enterprise agreement may allocate risk differently.
16. Indemnification
You will defend, indemnify and hold harmless Vaso Ventures LLC and its affiliates, officers, employees and contractors from third-party claims, damages, losses and reasonable expenses arising from your customer inputs, your product, your use or publication of data, or your violation of these Terms, applicable law or third-party rights.
17. Governing law and disputes
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law rules. The state and federal courts located in Delaware have exclusive jurisdiction over disputes arising from these Terms, and each party consents to their jurisdiction and venue.
Before filing a claim, each party agrees to give the other written notice and attempt in good faith to resolve the dispute for at least 30 days, except where immediate injunctive relief is reasonably necessary.
18. General terms
- You may not assign these Terms without our written consent, except in connection with a merger or sale of substantially all relevant assets.
- We may assign these Terms in connection with a reorganization, financing, merger, acquisition or sale of assets.
- Failure to enforce a provision is not a waiver.
- If a provision is unenforceable, the remaining provisions continue in effect.
- These Terms and incorporated documents form the agreement for their subject matter.
- Sections that by their nature should survive termination will survive.
19. Changes and contact
We may update these Terms by posting a revised version and changing the effective date. Material changes will apply prospectively and, where required, we will provide additional notice.
